The proposed transaction forms part of OCP Group’s continued development of its specialty phosphates business and reflects its commitment to reinforcing its position in high-value-added phosphate applications.
Established in 1996 at Jorf Lasfar, EMAPHOS has developed a specialised industrial platform serving a diversified range of end markets, including specialty fertilizers. Its production capacity, initially established at 140 000 tpy, was expanded to approximately 300 000 tpy in 2023.
The proposed transaction builds on this existing industrial platform and supports greater operational integration, while preserving EMAPHOS’s established commercial relationships and market reach. Specialty phosphates represent a differentiated and fast-growing component of OCP Group’s business portfolio, supported by specialised production capabilities and exposure to diversified industrial applications.
The transaction is led through OCP Specialty Products & Solutions (SPS), the Group’s wholly-owned subsidiary dedicated to specialty products. Upon completion, EMAPHOS will become a wholly owned subsidiary of OCP Group. Prayon S.A., in which OCP Group holds a 50% interest, and Chemische Fabrik Budenheim KG will remain strategic commercial partners of EMAPHOS, maintaining their existing supply relationships.
The proposed transaction remains subject to customary closing conditions and applicable regulatory approvals, and completion is currently expected to occur in early 2027.
